You will almost certainly have to burn the CDs, and, unless you have a
second hard drive in your machine, you will want to backup everything.
I don't know about Panther, but Tiger requires a clean install (well, it
at least requires a non-OS9 compatible filesystem which amounts to the
same thing in your case). If you have a second hard-drive, you can
install onto that instead.
disclaimer---I never installed Panther, only Tiger where I did the
above---back-up to DVDs, then install.
