I use lame on Linux:
  lame -m m -b 40 --resample 22 --mp3input oldfile.mp3 newfile.mp3
seems to work fine.

And yes, 40kbps still sounds quite well!
(I guess it should be like 160kbps on a 44khz stereo stream.)
